B2B general terms of service

These terms govern the services Balisk provides to companies and professionals. In short: it is an obligation of means, we do not guarantee rankings or mentions in search engines or AI platforms, and scope and price are those of your proposal. This English version is for information; the Spanish and Catalan versions are contractually binding.

Version: 0.2 · Last updated: 27 October 2026 · Earlier versions are kept and apply to contracts signed while they were in force.

1. Who provides the service

Marouan Jaadi, sole trader (autónomo), tax ID 40577166Z, business address Carrer Nord, 24, 2n, 17600 Figueres (Girona), trading as Balisk («Balisk», «we» or «the Provider»). Contact: hola@balisk.com.

2. Scope and acceptance

2.1. These terms apply to the services we provide to companies, professionals and legal entities acting in the course of their business («the Client»). They do not apply to consumers; a non-profit acting as a consumer is offered an adapted version.

2.2. The terms become part of the contract when the Client expressly accepts them, after receiving them and being able to read, save and reproduce them. We record the acceptance (text, version, date, person and channel).

2.3. Order of precedence: (1) the specific contract and its annexes; (2) the data processing agreement; (3) these terms; (4) the commercial proposal. The Client’s general terms do not apply unless accepted in writing.

2.4. As the contract is between non-consumers, both parties agree to exclude the prior information and acknowledgement of receipt that the LSSI requires for electronic contracts. We still send a copy of the signed contract.

3. Services

3.1. We provide one service in three steps:

3. Services
Step What it is
Diagnosis How search engines and AI assistants present you, what fails on your website and beyond it, and a plan with ranked priorities
90-day implementation We apply the plan: crawler access, structured data, content and consistency of your details across listings and directories, then we measure again
Maintenance Daily and weekly technical monitoring, with notice within one working day of detecting a serious fault; every month, at least one verified improvement with your approval and a note with your Search Console, Bing and Analytics data; every quarter, the full question panel with its margin. You see every change in your client portal

3.2. Implementation modes. (a) We apply it: the Client gives us access; we work on a staging copy, publish after written approval, back up before every change and roll it back if it fails. (b) We verify it: the Client or its provider applies the exact text and code we deliver, and we check that it is correctly applied.

3.3. The free checker on the site is an informative tool: it is not a contracted service and creates no obligations.

3.4. The exact scope, deliverables, schedule and price of each engagement are in the proposal and the specific contract. Anything not listed there is not included.

4. Obligation of means: no guarantee of results

4.1. We undertake to provide the services with professional diligence, applying the method described in the contract and delivering what was agreed on time. We do not undertake to achieve any result in search engines, assistants or artificial intelligence platforms.

4.2. ChatGPT, Gemini, Google, Perplexity, Copilot, Claude and any other platform are third-party services we do not control. Their answers vary between runs, languages, locations and versions, and can change without notice.

4.3. We therefore do not guarantee that the Client will appear, be cited or be recommended; any ranking; any increase in visibility, traffic or sales; or that a result will last.

4.4. What we do guarantee: delivering what was agreed on time; measuring with a documented method (questions, dates, surfaces and the margin of each indicator); never automating platform interfaces against their terms of use; and reviewing every deliverable before sending it.

5. Client obligations

5.1. The Client appoints a contact person with decision-making authority; provides information, access and approvals on time; validates its business details before they are published; implements changes the contract does not assign to us; keeps backups; and warrants that it holds the rights to the content and trademarks it gives us.

5.2. While a Client dependency is pending, our deadlines that depend on it are suspended.

6. Price, invoicing and payment

6.1. Prices are those of the accepted proposal and are stated excluding VAT; the applicable VAT is added.

6.2. Unless the proposal says otherwise: the Diagnosis, 50% on acceptance and 50% on delivery; the Implementation, by milestones or in monthly instalments in advance; Maintenance, monthly in advance, with a 3-month minimum and then month by month with 30 days’ notice.

6.3. Payment term: 30 days from the invoice, never more than 60 (Spanish Law 3/2004). Late payment accrues the interest and compensation set by that law; if it exceeds 15 days from our demand, we may suspend the service after written notice.

7. Changes of scope

Every change of scope follows the contract’s change control: a written request, an assessment of the impact on price and schedule, and the Client’s written approval before it is carried out.

8. Providers and subcontracting

We may rely on technology providers and on professionals bound by confidentiality for specific tasks. If they process the Client’s personal data, the sub-processor rules of the data processing agreement apply. We remain responsible to the Client for all their work.

9. Intellectual property

9.1. Client-specific deliverables are assigned to the Client under the terms of the contract once paid for.

9.2. Balisk’s method, templates, software and tools remain Balisk’s; the Client receives the licence it needs to use the deliverables.

9.3. We do not use the Client’s name, logo or data as a case study or reference without its written permission.

10. Confidentiality and data protection

10.1. Each party keeps the other’s information confidential during the contract and for 3 years afterwards.

10.2. When we access personal data controlled by the Client, we act as a data processor and an Article 28 GDPR agreement is signed. We process the details of the Client’s contact people as described in the privacy policy.

11. Liability

Except for wilful misconduct or gross negligence, and except where the law does not allow it: our total liability under a contract will not exceed the amount paid by the Client in the 12 months before the event; we are not liable for loss of profit or indirect damage; nor for the answers or changes of AI platforms and search engines; nor for implementation carried out by the Client or its provider.

12. Force majeure and platform changes

Neither party is liable for failures caused by events beyond its reasonable control. If a platform changes and the agreed method can no longer be applied, we propose an equivalent one; if the Client does not accept it, either party may terminate the affected part, paying for what has already been provided.

13. Term and termination

13.1. The term of each service is set in the contract.

13.2. Either party may terminate if the other breaches an essential obligation and does not remedy it within 15 days of a written demand.

13.3. On termination, what has been provided is paid, access is revoked, and data is returned or deleted under the data processing agreement.

14. Notices and language

Notices are given in writing to the email in the contract. These terms are offered in Spanish and Catalan, both contractually binding, and in English and French for information. If versions differ, the version signed by the Client prevails or, failing that, the Spanish one.

15. Amendments, governing law and jurisdiction

New versions only apply to contracts signed or renewed after their publication; for ongoing maintenance we give 30 days’ notice and the Client may terminate without penalty. Spanish law applies, and the parties submit to the courts of the owner’s address stated in the legal notice, unless a mandatory rule provides otherwise.
